1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Owono Academy (“we,” “us,” or “our”) regarding your use of:

• All educational courses and content
• Membership services (Monthly, Annual, and Lifetime)
• Job portal and career services
• Resume builder tools
• Community features (groups, forums, messaging)
• All related services and features

By creating an account, accessing our content, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to create an account and use our services. If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian.

2.2 Account Creation

To access certain features, you must create an account by providing:

• Valid email address
• Secure password
• Accurate personal information
• Payment information (for paid memberships)

2.3 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access

2.4 One Account Per Person

You may only create one account per person. Creating multiple accounts to circumvent our policies or access restrictions is strictly prohibited.

3. Membership Plans and Pricing

3.1 Subscription Terms

Monthly Membership:

• Billed every 30 days at $14.99
• Automatically renews unless cancelled
• Cancel anytime before renewal date
• Access continues until end of billing period after cancellation

Annual Membership:

• Billed once per year at $99.00
• Automatically renews annually unless cancelled
• Cancel anytime before renewal date
• Access continues until end of annual period after cancellation

Lifetime Membership:

• One-time payment of $195.00
• No recurring charges
• Lifetime access to all current and future courses
• VIP status and priority support forever

3.2 Price Changes

We reserve the right to change our pricing at any time. Price changes will:

• Not affect current subscribers until their next renewal
• Be communicated at least 30 days in advance
• Apply to new subscriptions immediately
• Never apply to Lifetime memberships (grandfathered forever)

3.3 Free Trial (If Applicable)

If we offer a free trial:

• Limited to first-time users only
• Requires valid payment method
• Automatically converts to paid subscription unless cancelled
• One trial per person/household

4. Payment and Billing

4.1 Payment Methods

We accept payment via:

• Credit cards (Visa, Mastercard, American Express, Discover)
• Debit cards
• Other methods as available through Stripe

All payments are processed securely through Stripe, a PCI-compliant payment processor. We do not store your full credit card information.

4.2 Automatic Renewal

By purchasing a Monthly or Annual membership, you authorize us to:

• Automatically charge your payment method at each renewal
• Update payment information if provided by your card issuer
• Continue charging until you cancel

4.3 Failed Payments

If a payment fails:

• We will attempt to process payment up to 3 times
• You will receive email notifications
• Your account may be suspended after 7 days
• Your account will be cancelled after 30 days of non-payment

4.4 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, duties, and government fees associated with your purchase.

5. Cancellation and Refunds

5.1 Cancellation Policy

Monthly and Annual Memberships:

• Cancel anytime through your account settings
• Cancellation takes effect at the end of current billing period
• You retain access until the end of the paid period
• No partial refunds for unused time

Lifetime Membership:

• Non-refundable after 30 days of purchase
• Contact us within 30 days for refund consideration

5.2 Refund Policy

Refund Conditions:

• Request must be made within 30 days of purchase
• Applies to first subscription only (not renewals)
• Lifetime memberships: 30-day refund window
• Refunds processed within 5-10 business days
• Refunded to original payment method

No Refunds For:

• Subscription renewals (Monthly or Annual)
• Partial billing periods
• Downloaded certificates or course materials
• Accounts terminated for Terms violations

6. Course Access and Content

6.1 Content License

Upon subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and view course content
• Download materials for personal use only
• Complete coursework and assessments
• Receive certificates of completion

6.2 Content Restrictions

You may NOT:

• Share your account credentials with others
• Download or distribute course content
• Reproduce, copy, or resell our materials
• Create derivative works from our content
• Use content for commercial purposes
• Remove copyright or proprietary notices
• Use automated tools to access content (bots, scrapers)

6.3 Course Availability

We reserve the right to:

• Add, modify, or remove courses at any time
• Update course content and materials
• Change instructors or course structure
• Discontinue courses with reasonable notice

Active subscribers will be notified of significant changes 30 days in advance when possible.

6.4 Certificates

Upon successful completion of courses, you may receive:

• Digital certificates of completion
• Certificates are for personal use and verification
• Certificates do not constitute professional licensure
• We reserve the right to revoke certificates for violations

7. Job Portal and Resume Builder

7.1 Job Listings

Our job portal aggregates job listings from third-party sources. We:

• Do not guarantee accuracy of job listings
• Are not responsible for employer actions
• Do not endorse any specific employers
• Cannot guarantee job placement or interviews

7.2 Resume Builder

When using our resume builder:

• You retain ownership of your resume content
• You are responsible for accuracy of information
• We are not liable for resume content or results
• You grant us license to store and display your resume

7.3 Search Limits

Non-members may have limited job search functionality:

• Free users: 2 searches per session
• Members: Unlimited searches
• Company names may be blurred for non-members

8. Community Features

8.1 Groups, Forums, and Messaging

When using community features, you agree to:

• Be respectful and professional
• Not post spam, advertising, or promotional content
• Not share offensive, hateful, or illegal content
• Not harass, bully, or threaten other users
• Respect others’ privacy and confidentiality
• Not impersonate others or misrepresent affiliations

8.2 Content Moderation

We reserve the right to:

• Monitor community content
• Remove inappropriate content without notice
• Suspend or terminate accounts for violations
• Report illegal activity to authorities

8.3 User-Generated Content

By posting content, you grant us a non-exclusive, royalty-free, worldwide license to:

• Display your content on our platform
• Moderate and edit content as needed
• Remove content at our discretion

9. Intellectual Property

10. Prohibited Activities

You may NOT:

• Violate any laws or regulations
• Infringe intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated tools (bots, scrapers, crawlers)
• Reverse engineer or decompile our software
• Frame or mirror our content
• Impersonate Owono Academy or our staff
• Collect user data without consent
• Share copyrighted course materials
• Resell or redistribute our content

11. Account Termination

11.1 Termination by You

You may terminate your account at any time by:

• Cancelling through account settings
• Contacting our support team

11.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Fail to pay subscription fees
• Engage in fraudulent activity
• Abuse our services or other users
• Create multiple accounts
• Share account credentials

11.3 Effect of Termination

Upon termination:

• Your access to courses will be immediately revoked
• You lose access to all content and materials
• Your account data may be deleted after 30 days
• Outstanding fees remain due
• No refunds for unused time (except as stated in refund policy)

12. Disclaimers and Limitations of Liability

12.1 Service “As Is”

Owono Academy is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of content
• Uninterrupted or error-free service

12.2 Educational Content Disclaimer

Our courses and content are for educational purposes only. We do not guarantee:

• Employment or job placement
• Professional certification or licensure
• Specific career outcomes
• Salary increases or promotions
• Passing of certification exams

Students are responsible for:

• Verifying state/local requirements for certification
• Ensuring courses meet professional standards
• Obtaining necessary licenses or certifications
• Complying with industry regulations

12.3 Medical/Healthcare Disclaimer

12.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWONO ACADEMY SHALL NOT BE LIABLE FOR:

• Loss of business opportunity
• Personal injury or property damage
• Damages exceeding the amount you paid us in the last 12 months

This limitation applies even if we have been advised of the possibility of such damages.

12.5 Third-Party Services

• Payment processing errors by Stripe
• Third-party websites or services linked from our site
• Actions of other users

13. Indemnification

You agree to indemnify, defend, and hold harmless Owono Academy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your content or conduct
• Misuse of certificates or credentials

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a formal claim, you agree to contact us at lucowono@gmail.com to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.

14.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, rather than in court, except:

• Small claims court actions (under $10,000)
• Intellectual property disputes
• Injunctive relief matters

14.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

14.5 Jurisdiction

If arbitration doesn’t apply, you consent to the exclusive jurisdiction of state and federal courts located in White Plains, New York.

15. Changes to Terms

We may update these Terms at any time. Changes will be effective:

16.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet outages, etc.).

16.6 Survival

Provisions that by their nature should survive termination will survive, including: intellectual property rights, disclaimers, limitations of liability, and dispute resolution.
